Welcome to Ledger Lines Bookkeeping, a branch of Cote and Associates Professional Corporation (“we,” “us,” or “our”). 3. Client Responsibilities

  • Timeliness: You are responsible for providing requested documents, data, and other information promptly to ensure timely service delivery.

  • Compliance: You are solely responsible for ensuring compliance with applicable laws and regulations in your jurisdiction.

4. Fees and Payment

  • Fee Structure: Fees for our Services will be outlined in the engagement letter or agreement provided before the commencement of any service.

  • Payment Terms: Payments are due as specified in the engagement letter or invoice. Late payments may incur additional fees or interest.

  • Refund Policy: Any refund requests will be addressed in accordance with the terms specified in your engagement letter.

5. Confidentiality

  • We are committed to maintaining the confidentiality of client information as required by applicable professional and legal standards.

  • We may share information with third parties only as necessary to provide the Services or as required by law.

6. Intellectual Property

  • All content, materials, and intellectual property provided by us in the course of delivering Services remain our property unless otherwise agreed in writing.

  • You are granted a non-exclusive, non-transferable license to use the materials solely for your personal or business purposes related to the Services.

7. Limitation of Liability

  • No Guarantees: While we strive to provide accurate and reliable Services, we do not guarantee specific outcomes or results.

  • Liability Cap: To the maximum extent permitted by law, our liability for any claim arising out of or relating to these Terms or our Services is limited to the fees paid by you for the specific Service in question.

  • Exclusions: We are not liable for indirect, incidental, or consequential damages, including but not limited to lost profits or data.

  • Either party may terminate the engagement by providing written notice in accordance with the terms outlined in the engagement letter.

  • Upon termination, you remain responsible for any outstanding fees for Services rendered up to the termination date.

  • Any disputes arising out of or relating to these Terms or our Services will be resolved through good-faith negotiation.

  • If negotiation fails, disputes may be resolved through arbitration or litigation, as determined by applicable law.

10. Changes to Terms

  • We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date.

  • Continued use of our Services after any changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.
